OUR BOARD OF DIRECTORS

The Foundation is governed by a three-member Board of Directors, which provides strategic direction, financial oversight and stewardship of our charitable mission. Michael Jaffa serves as Chairman of the Board, while Chaz Rainey, our Managing Director, oversees day-to-day operations and carries out the Board’s priorities.

MICHAEL JAFFA

Chairman and Director

Michael Jaffa is Chief Operating Officer of Kartoon Studios, with a career spanning the development, production and distribution of entertainment for children and families. He previously served as Head of Business Affairs at DreamWorks Animation Television and Vice President of Legal and Business Affairs at Hasbro Studios, working across creative development, production, talent and licensing matters. He holds a law degree from New York University School of Law. As Chairman of the Foundation’s Board, Michael brings his experience in entertainment and business leadership to its strategic direction, financial oversight and stewardship of the charitable mission inspired by Stan Lee’s legacy.

CHAZ RAINEY

Managing Director

Chaz Rainey is an entertainment attorney and executive who serves as Executive Vice President and Head of Business and Legal Affairs at Kartoon Studios and as a director of Stan Lee Universe. His work as General Counsel of Stan Lee’s POW! Entertainment helped protect and consolidate rights to Stan’s name, likeness and intellectual property. His broader experience includes advising creators and entertainment businesses and serving as an arbitrator and mediator in complex commercial disputes. As the Foundation’s Managing Director, Chaz oversees day-to-day operations and implements the Board’s priorities in support of literacy, storytelling and the narrative arts.

BOB SABOUNI

Director

Bob Sabouni is an entertainment marketing and licensing executive with more than two decades of experience connecting iconic characters and creators with audiences around the world. A former Executive Vice President at Marvel, he now leads Stan Lee legacy consumer products programs at Kartoon Studios. His work spans publishing, collectibles, brand partnerships and fan engagement, with an emphasis on creating experiences that resonate across generations. As a director of the Foundation, Bob brings an understanding of the comics community and the relationship between storytellers and their fans to its efforts to support literacy, celebrate creativity and honor Stan Lee’s legacy.

All of our directors serve on a volunteer basis, without compensation for their service to the Foundation.
